Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the websites, services and software provided by OPENDG Pvt Ltd ("OpenDG", "we", "us"), including the marketing and studio services and the Outpero software product. By using our website or purchasing our services you agree to these Terms.

1. Services

OpenDG provides (a) digital marketing services, (b) web design, development and optimization ("studio") services, and (c) software products, including Outpero, an AI voice-agent platform. The specific scope, deliverables and fees for engagements are set out in a proposal, quote or order confirmed in writing.

2. Accounts

Where an account is required (including for Outpero), you are responsible for the accuracy of your information and for keeping your credentials secure. You are responsible for activity under your account.

3. Acceptable use

• You must use our services lawfully and not for spam, fraud, harassment or any activity that violates applicable law or third-party rights.
• For calling features (Outpero), you are responsible for obtaining valid consent to contact the numbers you upload, for honouring do-not-call obligations, and for complying with telecom and data-protection regulations (including DLT/TRAI requirements in India).
• You must not attempt to disrupt, reverse engineer, or gain unauthorized access to our systems.

4. Fees & payment

Fees are as stated in your quote or on our pricing page and are payable in advance unless agreed otherwise. All fees are in INR and exclusive of taxes (GST) unless stated. Payments are processed by a third-party payment gateway. Refunds and cancellations are governed by our Refund & Cancellation Policy.

5. Intellectual property

OpenDG retains all rights to its software, platforms, methods and pre-existing materials. On full payment, deliverables created specifically for you under a studio or marketing engagement are licensed or assigned to you as set out in the applicable statement of work.

6. Third-party services

Our services may integrate with third-party platforms (e.g. Google, Meta, WhatsApp, Salesforce, telephony and payment providers). Your use of those services is subject to their own terms, and we are not responsible for their availability or actions.

7. Warranties & liability

We provide our services with reasonable skill and care. To the maximum extent permitted by law, our services are provided "as is", and our total liability arising from an engagement is limited to the fees paid by you for that engagement in the preceding three months. We are not liable for indirect or consequential losses.

8. Termination

Either party may terminate an engagement per the notice terms in the applicable order or the Refund & Cancellation Policy. We may suspend access for non-payment or breach of these Terms.

9. Governing law

These Terms are governed by the laws of India, and the courts at Hyderabad, Telangana have exclusive jurisdiction.
